1. Definitions
In these Terms and Conditions:
- "Tessera", "we", "us", or "our" refers to the company operating under the Tessera name, with registered offices at 160 Argyle Street, Mong Kok, Kowloon, Hong Kong.
- "Client" or "you" refers to the organisation or individual entering into an engagement with Tessera.
- "Services" refers to Intelligent Search Implementation, Anomaly Detection Systems, AI Vendor Evaluation Service, or any other service agreed in writing.
- "Agreement" refers to the scope document, proposal, or written confirmation of an engagement.
- "Deliverables" means the outputs produced by Tessera under a specific engagement.
2. Acceptance of Terms
By engaging Tessera's services — whether through submission of an enquiry form, signing a scope document, or making payment — you confirm that you have read, understood, and agree to these Terms and Conditions. Engagements are available only to organisations and individuals aged 18 or over with legal capacity to enter into binding agreements.
3. Service Description
Tessera provides AI advisory and implementation services as described on our website and in individual engagement scope documents. Services are provided in English. Tessera reserves the right to adjust service availability, scope, or pricing with reasonable notice. Geographic restrictions may apply to certain project delivery activities.
4. Engagement and Scope
Each engagement is governed by a written scope document agreed between Tessera and the Client prior to commencement. Any material changes to agreed scope are subject to written amendment. Tessera will not absorb scope changes silently; all changes and their implications for price or timeline will be communicated in advance.
5. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information as required for service delivery
- Maintain appropriate access permissions for Tessera personnel where required
- Nominate a point of contact for each engagement
- Respond to reasonable requests for input or approval within agreed timelines
- Not use Tessera's deliverables in a manner inconsistent with applicable law or these Terms
6. Prohibited Activities
Clients must not use Tessera's deliverables or services to:
- Violate any applicable law or regulation in Hong Kong or any other relevant jurisdiction
- Engage in surveillance, discrimination, or activities that would breach individual privacy rights
- Misrepresent the source or basis of recommendations in Tessera's reports
- Reproduce or resell Tessera deliverables to third parties without prior written consent
7. Intellectual Property
Tessera retains ownership of all proprietary methodologies, frameworks, and tools used in service delivery. Upon full payment, the Client receives a non-exclusive, non-transferable licence to use the specific deliverables produced for their engagement. General methodologies and evaluation frameworks remain the property of Tessera.
8. Payment Terms
Service fees are payable in Hong Kong Dollars (HKD) as specified in the engagement scope document. Unless otherwise agreed, a 50% deposit is due prior to commencement and the remainder upon delivery. Invoices are payable within 14 days of issue. Late payment may result in suspension of services.
Refund Policy
For AI Vendor Evaluation Service engagements, a full refund is available if cancelled before the assessment phase begins. For implementation services (Intelligent Search and Anomaly Detection), refunds for work completed to date are at Tessera's discretion based on stages completed. Refunds are not available for fully completed engagements.
9. Confidentiality
Tessera treats all client data and business information as confidential. We will not disclose client information to third parties except as necessary for service delivery (under confidentiality obligations) or as required by Hong Kong law. Clients agree to treat non-public Tessera methodologies and pricing information as confidential.
10. Data Processing
Where Tessera processes personal data on behalf of the Client as part of an engagement, a separate Data Processing Agreement (DPA) will be executed in compliance with the Personal Data (Privacy) Ordinance (PDPO). Our general data handling practices are described in our Privacy Policy.
11. Disclaimers
Services are provided in good faith based on information available at the time of delivery. Tessera does not warrant that any AI system, vendor recommendation, or implemented solution will produce a specific outcome, as outcomes depend on factors outside Tessera's control including client data quality, usage patterns, and third-party system changes. Services are provided "as-is" to the extent permitted by Hong Kong law.
12. Limitation of Liability
To the maximum extent permitted under Hong Kong law, Tessera's total liability to a Client for any claim arising from an engagement shall not exceed the total fees paid by the Client for that specific engagement. Tessera shall not be liable for indirect, consequential, or loss-of-profit claims. Nothing in these Terms limits liability for fraud or wilful misconduct.
13. Indemnification
The Client agrees to indemnify Tessera against claims, losses, or costs arising from: the Client's misuse of deliverables, breach of these Terms, or provision of inaccurate information that materially affects service delivery.
14. Termination
Either party may terminate an engagement with 14 days' written notice. Tessera may terminate immediately in the event of material breach by the Client, including non-payment. Upon termination, the Client is liable for fees covering work completed to the termination date.
15. Dispute Resolution
These Terms are governed by the laws of Hong Kong. In the event of a dispute, the parties agree to first attempt resolution through good-faith discussion. If unresolved within 30 days, disputes shall be subject to the non-exclusive jurisdiction of the courts of Hong Kong Special Administrative Region.
16. General Provisions
These Terms constitute the entire agreement between the parties regarding their subject matter, superseding any prior representations. If any provision is found unenforceable, the remaining provisions continue in full effect. Failure to enforce any right does not constitute waiver of that right.
17. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date reflects the most recent revision. Continued use of our services following an update constitutes acceptance of the revised Terms.
